Terms of use
Effective October 14, 2026
These terms are an agreement between you and SINC Labs LLC, a California limited liability company ("SINC Labs", "we", "us"), which makes the CPE Keeper app. By creating an account or using the app, you agree to these terms and to our privacy policy. If you don't agree, please don't use the app.
You get the app through Apple's App Store, so Apple's Licensed Application End User License Agreement also applies. Where these terms and Apple's agreement differ, these terms apply to the extent the law and Apple's rules allow.
What CPE Keeper does, and what it doesn't
CPE Keeper helps accountants record continuing professional education (CPE) and compare it with the requirements published by state boards of accountancy. It is a record-keeping and tracking tool.
It is not legal, regulatory or professional advice, and it does not replace your board's rules. Requirements change, boards interpret their own rules, and your situation may involve details the app doesn't capture. You are responsible for knowing and meeting your board's requirements, for checking that each course qualifies, and for reporting your CPE accurately. Each state's summary in the app links to the board sources it is based on; if anything in the app differs from what your board says, your board is right. We work to keep the rules current but don't guarantee that they are complete, accurate or up to date.
Course details read from certificates and transcripts are produced automatically and can be wrong. Review each course before you save it.
Your account
- You must be at least 18 years old to use CPE Keeper.
- Give us an email address you control, keep your password private, and tell us promptly at [email protected] if you think someone else has used your account.
- You are responsible for activity in your account.
- You can delete your account at any time from Settings in the app.
Subscriptions and free trials
- CPE Keeper offers yearly subscription plans, sold and billed by Apple through your Apple ID. Current prices and features are shown in the app before you subscribe.
- New subscribers may get a free trial. If you don't cancel at least 24 hours before the trial ends, your subscription starts and Apple charges you for the first year.
- Subscriptions renew automatically each year at the then-current price unless you cancel at least 24 hours before the renewal date. You can cancel or change plans in your Apple ID's subscription settings or from Settings in the app; cancelling stops future renewals, and you keep access until the end of the period you've paid for.
- If you upgrade from Base to Premium, the upgrade takes effect immediately and Apple refunds the unused part of your Base plan. If you switch from Premium to Base, the change takes effect at your next renewal.
- Payments, refunds and billing questions are handled by Apple under its terms. We can't issue refunds ourselves; you can request one at reportaproblem.apple.com.
- If we change prices, the new price applies from your next renewal after you've been notified as Apple requires.
Your content
The course records, certificates and other files you add remain yours. You give us permission to store, process and display them only as needed to run the app for you, including sending uploaded files to our service providers to read course details, as described in the privacy policy. Only upload files you have the right to use. You can export your CPE report from the app, and we recommend keeping your own copies of certificates; we aren't responsible for keeping records for you after your account is deleted.
Acceptable use
Don't misuse the app. For example, don't try to access other people's accounts or data, interfere with or overload the service, reverse engineer it except where the law allows, use it to store unlawful material, or resell access to it.
Our app
We own CPE Keeper, including its software, design and the way it presents state requirements. These terms give you a personal, non-transferable right to use the app for your own CPE records while you follow them; they don't transfer any ownership to you. If you send us feedback or suggestions, we may use them without owing you anything.
Changes and availability
We may update, change or discontinue features. We aim to keep the app available but don't promise it will always be uninterrupted or error-free. If we stop offering CPE Keeper, we'll give you reasonable notice and a way to export your records.
Ending these terms
You can stop using the app and delete your account at any time. We may suspend or close an account that breaks these terms or puts the service or other users at risk; where reasonable, we'll tell you first. Sections that by their nature should continue (such as disclaimers and limits on liability) survive after your account ends.
Disclaimers
To the fullest extent the law allows, the app is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't warrant that the app's results will satisfy any board, audit or licensing requirement.
Limitation of liability
To the fullest extent the law allows, SINC Labs and its members will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, license status, fees, penalties or profits, arising from your use of the app, even if we were told such damages were possible. Our total liability for any claim relating to the app is limited to the amount you paid for CPE Keeper in the 12 months before the claim. Some places don't allow certain limits, so some of these may not apply to you.
Apple
These terms are between you and SINC Labs, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and is not responsible for any claims relating to it, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection claims, or intellectual property claims. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the extent the law allows, Apple has no other warranty obligation. You confirm that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in California, unless the law where you live gives you the right to bring it elsewhere.
Changes to these terms
If we change these terms, we'll update the date at the top of this page. If a change is significant, we'll let you know in the app before it takes effect. Continuing to use the app after that means you accept the updated terms.
